British Virgin Islands (‘BVI’) legal system is based on English common law supplemented by local ordinances. Offshore financial services sector has flourished since the introduction of its International Business Company (IBC) legislation in 1984. International Business Company (IBC) incorporated in British Virgin Islands (‘BVI’) does not have any tax liabilities. IBC companies and all amounts paid by them to non-residents are exempted from all local taxes and stamp duty. The shareholders and directors in this IBC are kept confidential. The only documents of an IBC on public record are the Certificate of Incorporation and the Memorandum and Articles of Association.

There are three options of company corporate structure to choose from when forming a company in Seychelles. They are International Business Company (IBC), Special License Company (CSL) and Limited Liability Partnership (LLC). IBC companies in Seychelles are tax free for as long as they do not enter into business with local residents companies. IBC companies are still allowed to conduct business with other IBCs as long as such companies cannot benefit from the double tax treaties. CSL companies are domestic companies with a special license that authorities it to carry out specific business as per the laws. CSL can benefit from the double taxation treaties the country has signed with several countries including China, Malaysian, Thailand and Indonesia and their tax is 1.5% of its worldwide profits.
